These Terms & Conditions govern your use of the Nikoji Technologies website and our engineering, automation, and electronics manufacturing services. By engaging with us, you agree to be bound by these terms.
1. Engineering and Manufacturing Services
Nikoji Technologies provides industrial automation, PCB design, EMS (Electronics Manufacturing Services), and engineering consultancy. All specific deliverables, timelines, and technical specifications will be governed by a separate, mutually agreed-upon Statement of Work (SOW) or Master Services Agreement (MSA).
2. Intellectual Property (IP)
Unless explicitly stated in a custom agreement or SOW:
- Background IP: Any pre-existing intellectual property owned by Nikoji Technologies remains our exclusive property.
- Foreground IP: Custom designs, schematics, and automation code developed specifically for a client will be transferred to the client upon full payment of all associated invoices.
- Website Content: All text, graphics, and layout on this website are the property of Nikoji Technologies and may not be reproduced without written permission.
3. Quotes, Pricing, and Payments
All quotes provided are valid for 30 days unless otherwise stated. Due to the volatile nature of electronic component pricing, BOM (Bill of Materials) costs are subject to change until procurement is finalized. Payment terms will be outlined in the project invoice or SOW. Late payments may incur standard interest charges.
4. Warranties and Limitations of Liability
We engineer our solutions to the highest industrial standards. However:
- We do not warrant that our systems will operate entirely without interruption or error, especially when integrated with third-party legacy equipment.
- Nikoji Technologies shall not be liable for any indirect, incidental, or consequential damages (including loss of production or profits) arising from the use or inability to use our delivered systems or services.
- Our maximum liability under any engagement shall not exceed the total amount paid by the client for that specific engagement.
5. Confidentiality and NDAs
We routinely sign Non-Disclosure Agreements (NDAs) with our clients prior to discussing proprietary concepts. Even in the absence of an NDA, Nikoji Technologies treats all client inquiries, CAD files, and technical specifications with the utmost confidentiality.
6. Governing Law
These terms, and any dispute arising from them or our services, shall be governed by and construed in accordance with the laws of India, with jurisdiction falling exclusively to the courts of New Delhi.
